You acknowledge that some goods licensed or sold on the DNASTAR Site are subject to the customs and export control laws and regulations of the United States of America and may also be subject to the customs and export laws and regulations of the country in which the products are manufactured and/or received and agree to comply with all applicable laws. By purchasing, downloading or using technology or software from the DNASTAR Site, you agree to abide by the applicable laws, rules and regulations and you agree, represent and warrant that no DNASTAR Materials will be accessed from, downloaded in, released in, carried to transferred to, transshipped through, exported to, or re-exported to any restricted territory (or national resident thereof), any person, entity or organization on the U.S. Treasury Department’s List of Specially Designated Nationals or the U.S. Department of Commerce’s Denied Persons List or Entity List, or otherwise in violation of law.
9. Order Acceptance and Billing
This section covers payments done through process of purchase orders and online payments that are processed through our e-commerce platform (SeqBuilderPro.com), over the phone, email, fax or post.
All sales are final. There are no refunds on any software licenses purchased from DNASTAR.
All billing information provided must be truthful and accurate. Providing any untruthful or inaccurate information constitutes a breach of this Agreement and may result in order cancellation. Prior to accepting an order we may also request additional information from you. We reserve the right to refuse or cancel an order for any reason including limitations on quantities available for purchase, inaccuracies, or errors in product or pricing information, or problems identified related to credit and fraud avoidance. We will contact you if all or any portion of your order is canceled or if additional information is required to accept your order. DNASTAR may request a pre-authorization for some orders placed online with a credit or debit card. This pre-authorization will not be billed to you; however, your card issuer may hold this amount for a short period. Your card issuer determines the length of time the pre-authorization is held. We do this to ensure that the card details are valid and that you have sufficient funds to complete the transaction.
To protect your privacy, we do not store your credit card information in our system after a transaction has been processed.
By confirming your purchase at the end of the checkout process, you agree to accept and pay for the item(s).
DNASTAR reserves the right to limit the quantity of items purchased per person, per organization or per order for any reason. These restrictions may apply to orders placed by the same account, the same credit card, and also to orders that use the same billing and/or shipping address. We will notify the customer should such limits be applied. DNASTAR also reserves the right, at our sole discretion, to prohibit sales to dealers or resellers. For purposes of this Agreement, reselling shall be defined as purchasing or intending to purchase any product(s) from DNASTAR for the purpose of engaging in a commercial sale of that same product(s) with a third party.
10. Indemnification
You agree to defend, indemnify, and hold harmless DNASTAR and its affiliates from and against any and all claims, damages, costs, and expenses, including attorneys’ fees, arising from or related to your use of the DNASTAR websites or any breach by you of this Agreement.
This Agreement shall be governed by and construed under Wisconsin law without regard to conflicts of law provisions. Any action or proceeding arising out of or related to this Agreement or your use of the DNASTAR websites must be brought in the state or federal courts of Wisconsin and you consent to the exclusive personal jurisdiction of such courts.
We reserve the right to make changes to our websites, policies, Service Terms, and these Conditions of Use at any time. If any of these conditions shall be deemed invalid, void, or for any reason unenforceable, that condition shall be deemed severable and shall not affect the validity and enforceability of any remaining conditions.
DNASTAR software terms:
- Standard Internal Research Site and Internal Research Purposes License Agreement
- Use of the DNASTAR Software. You may use DNASTAR Software solely for purposes of enabling you to use and enjoy the DNASTAR Services as provided by DNASTAR, and as permitted by the Conditions of Use, these Software Terms and any Service Terms. You may not incorporate any portion of the DNASTAR Software into your own programs or compile any portion of it in combination with your own programs, transfer it for use with another service, or sell, rent, lease, lend, loan, distribute or sub-license the DNASTAR Software or otherwise assign any rights to the DNASTAR Software in whole or in part. You may not use the DNASTAR Software for any illegal purpose. We may cease providing any DNASTAR Software and we may terminate your right to use any DNASTAR Software at any time. Your rights to use the DNASTAR Software will automatically terminate without notice from us if you fail to comply with any of these Software Terms, the Conditions of Use or any other Service Terms. Additional third party terms contained within or distributed with certain DNASTAR Software that are specifically identified in related documentation may apply to that DNASTAR Software (or software incorporated with the DNASTAR Software) and will govern the use of such software in the event of a conflict with these Conditions of Use. All software used in any DNASTAR Service is the property of DNASTAR or its software suppliers and protected by United States and international copyright laws.
- Perpetual Licenses. In the normal course of business, DNASTAR frequently grants the user of our software a perpetual license for the use of such software. A perpetual license is defined as the use of the license for the software version purchased, for an unlimited period of time on the computer on which it was originally installed. A perpetual license does not permit users to place DNASTAR’s software on more computers than were licensed for use in the initial purchase. DNASTAR is not under any obligation to provide users of the software with support or additional copies of the original version of software purchased for backup, upgrades to new computers, or for any other purpose. In addition, DNASTAR is under no obligation to update its software for new computer operating systems, hardware configurations or for any other reason after initial purchase of the license by the customer. Users may continue to use a particular software version after DNASTAR support has been discontinued as long as the use of such software is not in conflict with any more recent license agreement agreed upon by the customer and only on the number of computers originally covered in the purchase agreement with DNASTAR or one of its distributors or agents. The following services will not function without a current service plan: searches of NCBI BLAST and Entrez databases, EdgeR and DESeq2 normalization methods, the Genome Downloader, the Variant Annotation Database, and the Transcript Annotation Database.
- Use of Third Party Services. When you use the DNASTAR Software, you may also be using the services of one or more third parties, such as a wireless carrier or a mobile platform provider. Your use of these third party services may be subject to the separate policies, terms of use, and fees of these third parties.
- No Reverse Engineering. You may not, and you will not encourage, assist or authorize any other person to copy, modify, reverse engineer, decompile or disassemble, or otherwise tamper with, the DNASTAR Software, whether in whole or in part, or create any derivative works from or of the DNASTAR Software.
- Updates. In order to keep the DNASTAR Software up-to-date, we may offer automatic or manual updates at any time and without notice to you.
- Government End Users. If you are a U.S. Government end user, we are licensing the DNASTAR Software to you as a “Commercial Item” as that term is defined in the U.S. Code of Federal Regulations (see 48 C.F.R. § 2.101), and the rights we grant you to the DNASTAR Software are the same as the rights we grant to all others under these Conditions of Use.
- Commercial Services. If you use DNASTAR software as part of a service you or your organization provides to others for a fee, you are required to have a “Commercial Services” license provided by DNASTAR
11. Termination
This Agreement is effective unless and until terminated by either you or DNASTAR. You may terminate this Agreement at any time, provided that you discontinue any further use of the DNASTAR Site. DNASTAR also may terminate this Agreement at any time and may do so immediately without notice, and accordingly deny you access to the DNASTAR Site, if in DNASTAR’s sole discretion you fail to comply with any term or provision of this Agreement. Upon any termination of this Agreement by either you or DNASTAR, you must promptly destroy all materials downloaded or otherwise obtained from the DNASTAR Site, as well as all copies of such materials, whether made under this Agreement or otherwise.
12. General
This Agreement represents the complete agreement between the parties and supersedes all prior agreements and representations between them. Headings used in this Agreement are for reference purposes only and in no way define or limit the scope of the section. If any provision of this Agreement is held to be unenforceable for any reason, such provision shall be reformed only to the extent necessary to make it enforceable and the other terms of this Agreement shall remain in full force and effect. The failure of DNASTAR to act with respect to a breach of this Agreement by you or others does not constitute a waiver and shall not limit DNASTAR’s rights with respect to such breach or any subsequent breaches.
13. Blog Content Submission
DNASTAR allows users to submit and share comments, feedback, submissions, suggestions, questions, reviews, and other content through DNASTAR websites (“Content”). Content should be written in English.
By submitting Content, you warrant that (1) you are the sole author and owner of the Content; (2) you are at least 18 years old; and (3) use of any Content you supply will not violate any term of this Agreement and will not cause injury to any person or entity.
License Grant for Submitted Content
If you make any submission to a DNASTAR website, you automatically grant, or warrant that the owner of such content has expressly granted DNASTAR, a royalty-free, perpetual, irrevocable, worldwide, unlimited, nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or content material in any media or medium, or any form, format, or forum now known or hereafter developed. DNASTAR may sublicense its rights through multiple tiers of sublicenses. You should not submit any Content to us that you do not wish to license to us. DNASTAR is and shall be under no obligation (1) to maintain any Content in confidence; (2) to pay any compensation for any Content; or (3) to respond to any user Content. You grant DNASTAR the right to use the name that you submit in connection with any Content.
You represent and warrant that you will not submit the following Content:
- Content that is false, inaccurate, or misleading;
- Content that contains any confidential identifiable information of yourself or others;
- Content that violates any local, state, federal, or international laws;
- Content that infringes on the rights of others, including patents, copyrights, trademarks, trade secrets, publicity or privacy rights;
- Content that is unlawful, obscene, derogatory, defamatory, threatening, harassing, abusive, slanderous, hateful, or embarrassing to any other person or entity as determined by DNASTAR in its sole discretion;
- Advertisements, solicitations or spam links to other web sites or individuals, without prior written permission from DNASTAR;
- Chain letters or pyramid schemes;
- Content that impersonates another business, person or entity, including DNASTAR, its related entities, employees and agents;
- Content that contains viruses or other harmful computer code;
- Content that victimizes, harasses, degrades, or intimidates an individual or group of individuals on the basis of religion, gender, sexual orientation, race, ethnicity, age or disability;
- Content for which you were compensated or granted any compensation by any third party unless otherwise authorized by DNASTAR in writing; or
- Content that violates any policy posted on the DNASTAR Site, or interferes with the use of the DNASTAR Site by others.
Although DNASTAR cannot monitor all Content, you understand that DNASTAR shall have the right, but not the obligation, to monitor the Content of the DNASTAR Site to determine compliance with this Agreement and any other operating rules that may be established by DNASTAR from time to time. DNASTAR shall have the right, in its sole discretion, to edit, move, delete, or refuse to post any Content submitted to or posted on a DNASTAR Site for any reason, including violation of this Agreement, whether for legal or other reasons. You are solely responsible for any Content you submit and you agree to indemnify DNASTAR and its affiliates for all claims resulting from any Content you submit.
14. Information Submitted on a DNASTAR Site
DNASTAR and our customers post a variety of material on the DNASTAR websites including without limitation, merchandise information, product descriptions, reviews, comments, and similar information (collectively, “Materials”). The Materials that appear on the DNASTAR websites are for educational and informational purposes only. Despite our efforts to provide useful and accurate information, errors may appear from time to time. Before you act on information you have found on the DNASTAR websites, you should confirm any facts that are important to your decision. DNASTAR and its information providers make no warranty as to the reliability, accuracy, timeliness, usefulness, or completeness of the information on the DNASTAR websites. DNASTAR is not responsible for, and cannot guarantee the performance of, goods and services provided by others to whose sites we link. Product information contained on the DNASTAR Site may be different from information contained on the product materials due to manufacturer changes.
DNASTAR, ITS AFFILIATES, AND AGENTS ASSUME NO RESPONSIBILITY FOR ANY CONSEQUENCE RELATING DIRECTLY OR INDIRECTLY TO ANY ACTION OR INACTION YOU TAKE BASED ON THE MATERIALS LOCATED ON THE DNASTAR SITE.
15. Copyright Complaints
DNASTAR respects the intellectual property of others. If you believe that your work has been copied in a way that constitutes copyright infringement, please contact DNASTAR to the attention of General Manager at our corporate address, 1202 Ann Street, Madison, WI 53713. DNASTAR is not responsible or liable for User generated content.
16. Financial Conflict of Interest Policy
DNASTAR promotes objectivity in research by establishing standards that provide a reasonable expectation that the design, conduct, and reporting of research funded under Public Health Service (PHS) grants or cooperative agreements will be free from bias resulting from Investigator financial conflicts of interest.
